1.      Directors and supervisors change:

·       Directors and supervisors can be added, reduced, or replaced (at least one director and one supervisor)

2.      Capital increase change:

·       The company’s capital can be increased or decreased.

·       To process the capital change, the company’s balance sheet in Indonesia is required.

·       The registered capital and paid-in capital must not be less than IDR 10 billion.

·       The paid-in capital should not exceed the registered capital.

·       After the capital increase, the value of the shares will change, and each shareholder’s shareholding amount will also increase accordingly.

3.      Shareholder and share change:

·       Shareholders can be individuals or companies (if it’s a foreign construction company, the shareholder must be a company).

·       The minimum shareholding percentage is 1%.

·       This change is limited to 50% or less. If the shareholding exceeds 50%, it is considered an “acquisition”. Acquisition requires shareholders to be in Indonesia and sign in front of a notary public, which takes a long time to process. If there is a time constraint or other requirements, the shareholding percentage can be split into two transactions (both under 50%) to process two separate changes.

4.      Company Name change:

·       At least three words, each word cannot be less than 3 letters.

5.      Address change:

·       The latest lease contract is required.

6.      Business scope change:

·       Business scope can be increased, reduced or changed.
